Acceptable Use Policy

This Acceptable Use Policy ("AUP") sets out the rules governing your use of the Deal Exchange platform operated by Mitton Ridge Partners Ltd ("we", "us", or the "Platform"). This AUP forms part of our Terms of Service. By using the Platform, you agree to comply with this AUP.

1. Permitted Use

The Platform is provided for the following purposes only:

  • Sellers: Creating and managing business listings for the genuine purpose of selling a business or business assets
  • Buyers: Browsing, evaluating, and pursuing the acquisition of businesses listed on the Platform
  • Both: Communicating with other users through the Platform's access request and messaging features in connection with genuine business transactions

2. Prohibited Conduct

You must not use the Platform to:

2.1 Fraud and Misrepresentation

  • Submit false, misleading, or fraudulent information in listings, forms, or communications
  • Misrepresent your identity, investor status, or authority to act on behalf of a business
  • Create fake listings or listings for businesses you do not own or have authority to sell
  • Falsely declare your investor self-certification category
  • Use another person's account or credentials without authorisation

2.2 Platform Circumvention

  • Attempt to circumvent the Platform's fee structure, including the Heads of Terms fee or Success Fee
  • Contact sellers or buyers outside the Platform to avoid Platform fees after an introduction has been made through the Platform
  • Use information obtained through the Platform to contact sellers or buyers through other channels for the purpose of avoiding Platform fees
  • Create multiple accounts to circumvent the Rule of 4 slot allocation system

2.3 Data Misuse

  • Scrape, crawl, or use automated means to extract data from the Platform
  • Copy, reproduce, or redistribute listing data, financial information, or business details obtained through the Platform
  • Share confidential information obtained under NDA with any third party
  • Use data obtained through the Platform for any purpose other than evaluating a genuine acquisition opportunity
  • Download, copy, or distribute documents from data rooms except for the purpose of conducting due diligence on a listing you have been granted access to

2.4 Harmful Behaviour

  • Harass, threaten, abuse, or intimidate other users
  • Send unsolicited commercial communications or spam to other users
  • Attempt to gain unauthorised access to the Platform, other users' accounts, or our systems
  • Introduce viruses, malware, or other harmful code to the Platform
  • Interfere with or disrupt the Platform's operation or infrastructure
  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation

3. User-Generated Content

Users are solely responsible for all content they submit to the Platform, including listing descriptions, financial data, documents, and communications. The Platform:

  • Does not pre-screen, review, verify, or endorse user-generated content
  • Does not monitor user communications or data room contents
  • Is not responsible for the accuracy, completeness, or legality of user-generated content
  • Reserves the right to remove content that violates this AUP, but has no obligation to do so

4. Enforcement

We reserve the right, at our sole discretion, to:

  • Investigate suspected violations of this AUP
  • Suspend or terminate accounts that violate this AUP, without prior notice
  • Remove content that violates this AUP
  • Report suspected illegal activity to the relevant authorities
  • Pursue any available legal remedies for violations of this AUP, including recovery of fees owed

Suspension or termination of your account does not relieve you of any obligations under the Terms of Service, including payment obligations.

5. Reporting Violations

If you become aware of any violation of this AUP, please report it to us at contact@dealexchange.com. Please include as much detail as possible, including the nature of the violation and any supporting evidence.

6. Changes to This Policy

We may update this AUP from time to time. Material changes will be communicated by posting a notice on the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the updated policy.
