Most platforms broadcast your business to the world, alerting competitors and unsettling staff. We do the opposite. We operate a "Private Access" environment where access is strictly limited, ensuring privacy for the seller and limited exclusivity for the buyer.

The Secure Intake (The Vault)

We don't ask you to fill out endless forms. Listing with us can be completed in minutes, not months. Your Companies House registration number is looked up against public registry data as part of the listing process.

The Anonymisation Shield

Your privacy is our priority. Before your listing goes live, our system automatically "fuzzes" your location, hides your business name, and bands your revenue figures. Buyers see the opportunity, but they can't identify your specific business until you grant permission.

This is our unique model. We strictly limit the number of active buyers for your business to four slots. You aren't managing 50 conversations. Our dashboard mimics the high-density environment of a professional trading terminal. Use keyboard shortcuts and advanced filters to instantly scan opportunities by EBITDA, Sector, and Revenue. All financial data is structured and normalised.

The Scarcity Counter

Every listing displays a live "Odometer" showing remaining slots.

Green: 4 Slots Open Amber: 2-3 Slots Open Red: 1 Slot Left

Once the 4th slot is taken, you are locked out and placed on a waitlist. If you see an opportunity you like, you must reserve your position immediately.

The Non-Disclosure Agreement (NDA)

Securing a slot is free, but requires immediate action. You will digitally sign an embedded NDA to unlock access to the opportunities you find. Unless stated otherwise, these sellers do NOT have representation from brokers or advisors. Treat them as off-market opportunities.

The Commitment Gate (Heads of Terms)

When you find the right asset, you initiate the Heads of Terms (HoT). Upon signing HoT, you pay a £500 fee. This locks the listing — the other buyers get locked out and you now have the exclusive right to complete the purchase. Upon successful acquisition, a standard 1% success fee applies based on the Total Transaction Value.

No Listing Fees

It costs nothing to enter your business into our "Vault".

No Marketing Retainers

We do not charge you to find buyers. Our "Scarcity Engine" attracts them automatically.

No Exit Tax

We do not deduct fees from your final sale price. We monetise the buyer's entry, protecting your exit yield.

  • Activates the "Under Offer" status
  • Triggers the lock-out mechanism for all other active buyers
  • Secures your sole right to progress to legal completion
Phase 3 Completion 1%

Payable only upon successful transaction completion. Calculated as 1% of the final Total Transaction Value.

Why this model makes us unique

Most platforms make money by selling "leads" or charging sellers to list on a noisy bulletin board. This encourages spam and attracts "tire kickers". We built the "Skin in the Game" model:

The Tire-Kicker Filter

By charging the buyer a £500 fee at the Heads of Terms stage, we filter out non-serious browsers. If a buyer pays, the Seller knows they are serious.

Protected Valuation

Because the Seller pays nothing, they are under no pressure to accept a low-ball offer just to cover their listing costs.

True Exclusivity

The buyer's fee buys them a "Private Treaty" environment. You aren't bidding in a chaotic auction; you are paying to clear the room and deal directly with the owner.

Are you our advisor or broker?

No, we are not providing you with any advice or assistance in the process of selling your business aside from providing the platform (hence why we do not charge).

How does limiting to only 4 buyers benefit me?

We grant access to a maximum of four registered buyers at any one time. This creates a competitive "Private Treaty" environment where buyers know they must act fast and offer their best price to secure the deal.

How is my privacy protected?

We use a "double-blind" intake system. Your initial listing is an anonymised "Opportunity Notice". It describes what you are (e.g., "Logistics Firm in the Midlands") but not who you are. A buyer only learns your identity after they have been approved by you and formally allocated a slot.

When do I pay?

We do not charge for looking. However, once you agree to terms, we require skin in the game.

  • The Fee: £500.00
  • When is it due? Within 24 hours of signing Heads of Terms (HoT) with a seller.
  • Is it refundable? No. This fee covers the administrative cost of the introduction and the "lock-out" mechanism. It is payable regardless of whether the deal completes or aborts.
How is the Success Fee calculated?

Upon successful completion, a fee of 1.0% of the Total Transaction Value (TTV) applies.

  • Minimum Fee: The minimum fee payable is £2,000.
  • Payment Terms: Payable within 30 days of the Completion date.
How do you define "Total Transaction Value" (TTV)?

We calculate fees based on the Enterprise Value of the deal, not just the cash handed over on Day 1. TTV includes:

  • Cash: Any money paid to the sellers.
  • Non-Cash Assets: Shares, loan notes, or securities.
  • Earn-Outs: Calculated at the maximum theoretical value outlined in the contract.
  • Debt: Any debt (e.g., bank loans, bounce back loans, finance leases) that you assume or refinance as part of the deal.
How does "Limited Exclusivity" work?

We do not flood the market. For any given Opportunity, we grant an "Allocation" to a maximum of Four (4) prospective buyers alongside you. These slots are allocated on a strict first-come, first-served basis.

What happens if I try to go around the platform?

Our agreement includes a specific Non-Circumvention clause. If you (or an affiliate) complete an acquisition with a Target we introduced within 24 months of the introduction date, the full Success Fee is legally payable. This applies even if initial negotiations fail and you resume them later directly with the seller.

Are you acting as my broker?

No. We act solely as an Introducer. We are not agents, brokers, or financial advisors to either party. You are responsible for conducting your own due diligence and valuation.
